1. Accepting these terms

By using this website you agree to these terms. If you do not agree, please do not use the site. You must be at least 18 years old, or have the permission of a parent or guardian, to send a request or create an account.

Midpoint One is operated by Midpoint One LLC and Free Land Vacations Inc ("Midpoint One", "we", "us").

2. Our role

Midpoint One is a venue that introduces local buyers and sellers. We are not the seller of the products and services listed, we do not own them, inspect them, or take possession of them. The agreement to buy is formed directly between you and the seller.

Listings are created by sellers. We do not warrant that any listing is accurate, current, complete, or that a seller is able to fulfil it.

3. Requests, not orders

Sending the checkout form submits a request to a seller. It is not a confirmed order and it does not create a binding contract on its own. The seller will contact you to confirm availability, the final price, and how to pay. Either side may decline before payment is arranged.

4. Payment

Because payment happens between you and the seller, Midpoint One does not hold funds, does not issue receipts for the sale, and cannot reverse, refund, or charge back a payment. Agree refund and cancellation terms with your seller before you pay.

5. Prices, taxes and commission

Prices are set by sellers and shown inclusive of applicable taxes. Delivery or service arrangements, and any associated cost, are agreed between you and the seller.

Listing is free for sellers. Midpoint One earns a platform commission only when a sale is completed through the marketplace — there is no listing fee and no charge if nothing sells. The commission rate that applies to your account is set out in the seller agreement you accept at sign-up, and we will give you notice before it changes.

6. If you sell on Midpoint One

• You must have the right to sell what you list, and it must be legal to sell where you are.
• Your listings must be accurate — description, condition, price and availability.
• You are responsible for fulfilling what you sell, and for your own tax and licensing obligations.
• You must respond to buyer requests within a reasonable time.
• We may remove a listing or suspend an account that breaches these terms.

7. Acceptable use

You agree not to use the site to post anything unlawful, misleading, or infringing; to list prohibited or counterfeit goods; to harass other users; to scrape or copy the site in bulk; to interfere with its operation; or to attempt to gain unauthorised access to any part of it.

8. Accounts

If you create an account you are responsible for keeping your sign-in details secure and for activity under your account. Tell us promptly if you believe your account has been used without your permission. We may suspend or close an account that breaches these terms.

9. Content and intellectual property

The Midpoint One name, design and site content are owned by us or our licensors. Listing photographs and descriptions remain the property of the sellers who posted them. By posting a listing you grant us a non-exclusive licence to display and promote that listing on the marketplace.

10. Disclaimers

The site is provided "as is" and "as available". We do not guarantee that it will be uninterrupted or error-free, or that listings are accurate. To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not responsible for the quality, safety, legality, or delivery of anything sold through the marketplace, or for the conduct of any buyer or seller.

11. Limitation of liability

To the fullest extent permitted by law, Midpoint One will not be liable for indirect, incidental, special or consequential damages, or for lost profits, arising from your use of the site or from any transaction between you and another user. Nothing in these terms excludes liability that cannot lawfully be excluded.

Disputes about a purchase are between you and the seller. We may help facilitate a resolution but we are not obliged to, and we are not a party to that contract.

12. Governing law

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Both operating entities are Florida-registered and based in Pembroke Pines, Broward County. Any dispute that is not resolved informally will be brought in the state or federal courts located in Broward County, Florida, and you and Midpoint One each consent to that venue.

13. Changes

We may update these terms. The date at the top of this page shows the current version, and continuing to use the site after a change means you accept the updated terms.
